Welcome to Openfield Nucleus! These Terms of Service ("Terms") govern your access to and use of the Openfield Nucleus educational platform, including any content, functionality, and services offered on or through our platform (collectively, the "Service").

Please read these Terms carefully before you start to use the Service. By using the Service, or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the Service.

1. Description of Service

Openfield Nucleus provides an all-in-one, cloud-first ecosystem designed for learners, educators, guardians, and staff. Features include AI-driven lesson plan generation, user profiles, scheduling, leaderboards, admin panels, payment processing (where applicable), and notifications.

2. User Accounts

a. Eligibility and Registration

To access certain features of the Service, you may be required to register for an account. If you are registering on behalf of an educational institution, you represent that you have the authority to bind that institution to these Terms. If you are a student, your account may be created or managed by your educational institution.

b. Account Responsibilities

You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized use, or suspected unauthorized use of your account or any other breach of security.

3. Use of the Service

a. Permitted Use

You agree to use the Service only for lawful, educational purposes and in accordance with these Terms. The Service is provided primarily for use by students, teachers, school administrators, and parents/guardians within an authorized school environment.

b. Prohibited Conduct

You agree not to use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation.
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent.
  • To impersonate or attempt to impersonate Openfield Nucleus, an employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Openfield Nucleus or users of the Service or expose them to liability.
  • To upload or transmit viruses, Trojan horses, or other malicious code.
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service.

4. Content

a. User Content

You are solely responsible for any data, text, files, information, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links, and other content or materials (collectively, "User Content") that you submit, post, display, or transmit on or through the Service.

User Content created within a school's instance of Openfield Nucleus (e.g., lesson plans, student assignments, grades) is generally owned by the educational institution or the creator, subject to the school's policies. By providing User Content, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such User Content in connection with operating and providing the Service.

b. Platform Content and Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Openfield Nucleus, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Service for your personal, non-commercial (if an individual user) or internal educational (if an institution) use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally permitted through the Service’s functionality.

5. Fees and Payments (If Applicable)

Certain aspects of the Service may be subject to fees. All applicable fees will be disclosed to you prior to your use of such features. You agree to pay all fees and applicable taxes incurred by you or anyone using an account registered to you. We may revise the pricing for the goods and services offered through the Service at any time.

6. Term and Termination

These Terms will remain in full force and effect while you use the Service. We may suspend or terminate your access to the Service at any time, for any reason, including for any breach of these Terms, in our sole discretion without notice or liability to you.

If your access is managed by an educational institution, the institution may also suspend or terminate your account according to its policies.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. Openfield Nucleus EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICE SHALL BE AT YOUR OWN DISCRETION AND RISK.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL Openfield Nucleus, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY MATERIALS OR CONTENT ON THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT Openfield Nucleus HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction, e.g., State of California, Country of Kenya], without regard to its conflict of law principles.

10. Changes to Terms

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
